1. Scope
These terms apply to every agreement to which NetB BV is a party. Deviating conditions only apply if NetB BV has expressly agreed to them in writing.
2. Quotes and agreements
Quotes are valid for 8 days unless stated otherwise. Cancellation by the client requires NetB BV's express consent and entitles NetB BV to compensation of 25% of the agreed price. Rights and obligations cannot be transferred to third parties without prior written consent.
3. Prices and delivery
Prices exclude VAT unless stated otherwise. Delivery times are indicative. Liability for exceeding binding deadlines is limited to 5% of the agreed price.
4. Invoicing and payment
Invoices are payable in cash unless agreed otherwise. Late payment automatically incurs compensation of 10% and interest of 1% per month, makes all other invoices due and allows NetB BV to suspend its obligations.
5. Retention of title and intellectual property
Delivered goods remain NetB BV's property until paid in full. All intellectual property rights in NetB BV's work remain with NetB BV. The client receives a personal, non-transferable and non-exclusive right of use.
6. Complaints and acceptance
Deliveries must be inspected immediately. Acceptance without reservation covers visible defects. Liability for hidden defects is limited to 6 months after delivery and requires notice by registered letter within 48 hours of discovery.
7. Liability
Liability is limited to direct and foreseeable damage to the delivery itself, capped at the amounts invoiced for that delivery. Consequential damage is excluded.
8. Termination
In case of late payment, insolvency or reasonable doubt about the client's ability to perform, NetB BV may suspend its performance or terminate the agreement by registered letter, with compensation of 25% of the agreed price.
9. Applicable law
Belgian law applies exclusively. The Vienna Sales Convention does not apply. Only the courts of the district of Maaseik have jurisdiction.
